SEC Charges Former Tricolor Executives With Fraud

The Securities and Exchange Commission has charged three former executives of Tricolor Holdings, LLC with fraud, alleging they misled investors about the Texas-based auto lender's financial health and manipulated loan data before the company's bankruptcy.

SEC Alleges Fraud at Texas Auto Lender

The Securities and Exchange Commission has filed a complaint in the U.S. District Court for the Southern District of New York against Daniel Chu, Jerome Kollar, and Ameryn Seibold, three former executives of Tricolor Holdings, LLC. Chu served as CEO of Tricolor Holdings, LLC, Kollar as its CFO, and Seibold as Senior Director of Finance. Tricolor Holdings, LLC was headquartered in Texas and filed for bankruptcy in September 2025.

SEC Charges Former Tricolor Executives With Fraud

Allegations of Misrepresentation and Data Manipulation

The SEC alleges that Tricolor, Chu, and Kollar made numerous false and misleading representations to investors about the lender's overall financial health. The complaint also alleges that the defendants manipulated loan metrics to make non-paying or defaulted loans appear current and eligible for securitization pools. According to the SEC, Tricolor represented that loans in its asset-backed securities collateral pools were free and clear of other liens while knowing that many had been or would be double pledged.

Charges and Requested Relief

The SEC's complaint charges the defendants with violating antifraud provisions of the Securities Act of 1933 and the Securities Exchange Act of 1934. The complaint additionally alleges control person liability against Chu. The SEC is seeking injunctive relief, disgorgement of ill-gotten gains with prejudgment interest, and civil penalties against all defendants.
